2027 ELEVATE World Natural Hair, Health & Beauty Show: Exhibitor Contract
Version 1
This Exhibitor Contract ("Contract") is entered into as of the date Exhibitor signs it electronically below (the "Effective Date"), by and between Braids, Weaves & Things, Inc. DBA ELEVATE World Natural Hair Show ("Company"), and the undersigned exhibitor ("Exhibitor"), for participation in the 2027 ELEVATE World Natural Hair, Health & Beauty Show (the "Show"), taking place at the Atlanta Convention Center at AmericasMart, 240 Peachtree St NW, Atlanta, GA 30303, from Thursday, April 29, 2027, through Sunday, May 2, 2027. Public Show days are Saturday, May 1, 2027, and Sunday, May 2, 2027. Thursday, April 29 and Friday, April 30, 2027, are exhibitor move-in days. The AONE Awards Gala, held on Friday, April 30, 2027, is a separately ticketed event governed by separate agreements and is not included in this Contract.
1. EXHIBIT SPACE
1.1 License of Space. Company grants Exhibitor a revocable license to use the booth space assigned to Exhibitor (the "Booth") during the Show, from Thursday, April 29, 2027, through Sunday, May 2, 2027, subject to the terms of this Contract. This license does not create a lease, tenancy, or any other interest in real property.
1.2 Booth Operation Hours. Exhibitor's Booth must be fully staffed and operational during all public Show hours: Saturday, May 1, 2027, and Sunday, May 2, 2027, from 9:00 AM to 6:00 PM each day. Early breakdown or teardown of the Booth prior to the official close of the Show is prohibited.
1.3 Setup and Check-In. Move-in for Booths 20×20 feet and larger is Thursday, April 29, 2027. Move-in for all other Booths is Friday, April 30, 2027, and setup and check-in must be completed no later than 4:00 PM that day. Any Booth not claimed and set up by the applicable deadline may be forfeited and reassigned by Company at its sole discretion, without refund.
1.4 Move-Out. Move-out will begin at the close of the Show on Sunday, May 2, 2027, and must be completed by 11:59 PM that evening. Exhibitor is responsible for removing all of its property, displays, and trash from the Booth and surrounding areas.
2. BOOTH ASSIGNMENT
All booth assignments are made on a first-come, first-served basis at the sole discretion of Company, and are subject to availability. To request specific booth placement or make changes to an existing assignment, Exhibitor must contact the Show's Exhibitor Manager at exhibit@naturalhair.org. Company reserves the right to relocate any Booth as necessary for the safe and orderly operation of the Show.
3. FEES AND PAYMENT
3.1 Booth Fees. Exhibitor agrees to pay the total booth fee set forth in the registration order. A deposit is due at the time of booking. The remaining balance is due in full on or before March 15, 2027. Failure to pay the balance by this date may result in cancellation of Exhibitor's Booth without refund. After March 15, 2027, full payment is required at the time of booking; a deposit will no longer hold a Booth.
3.2 No Refunds. All booth fees, deposits, and other payments made under this Contract are non-refundable, regardless of the reason for cancellation, including Exhibitor's failure to attend, late arrival, or early departure. Cancellation requests must be submitted in writing to exhibit@naturalhair.org and release the Booth for reassignment without refund.
3.3 Late Fee. A late fee of $250.00 will be assessed on any balance remaining unpaid after March 15, 2027.
3.4 Crew Credentials. Exhibitor must submit the names of all booth staff requiring crew credentials no later than April 1, 2027. Credentials will not be issued at the door for staff not pre-registered by this deadline.
4. EXHIBITOR OBLIGATIONS
Exhibitor shall: (a) keep its Booth clean, orderly, and professionally presented at all times during Show hours; (b) ensure all Booth staff conduct themselves in a professional manner; (c) comply with all venue rules, fire codes, and applicable laws; (d) confine all sales, sampling, demonstrations, and promotional activity to the assigned Booth space; and (e) obtain all licenses and permits required for its activities at the Show.
5. PAYMENT TERMS
All payments shall be made as detailed in the payment schedule attached to this Contract and incorporated herein by reference. Company accepts major credit cards, ACH transfers, and other payment methods as designated during registration.
6. EXHIBITOR-PROVIDED MATERIALS AND SERVICES
Exhibitor is solely responsible for all materials, displays, signage, products, and services it provides at its Booth, including setup, operation, and removal. Company is not responsible for providing electricity beyond standard venue provisions, internet access, furnishings, or labor unless expressly agreed in writing.
7. BADGES AND ADMISSIONS
Exhibitor will receive the number of exhibitor badges specified in its registration order for booth staff. Exhibitor badges grant access to the Show floor during public Show hours only. Exhibitor badges do not include admission to the AONE Awards Gala on April 30, 2027, or any other separately ticketed event, which must be purchased separately.
8. INSURANCE (MANDATORY)
8.1 Required Coverage. Exhibitor is required to carry, at its sole expense, commercial general liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 in the aggregate, covering its participation in the Show, including setup and move-out. Such policy shall name Braids, Weaves & Things, Inc. DBA ELEVATE World Natural Hair Show and the Show venue as additional insureds and shall include a waiver of subrogation in favor of Company.
8.2 Certificate of Insurance. Exhibitor must deliver a valid certificate of insurance evidencing the coverage required in Section 8.1 no later than March 30, 2027, to exhibit@naturalhair.org. THIS IS A CONDITION OF EXHIBITING: any Exhibitor that has not provided an acceptable certificate of insurance by the deadline will not be permitted to set up or exhibit, and its Booth may be forfeited without refund. Company notes that single-event exhibitor liability policies satisfying the above requirement are widely available from event insurance providers at modest cost (typically around $75 to $175 for a weekend event); Company can provide a list of such providers upon request.
8.3 Assumption of Risk. Exhibitor assumes all risk of loss, theft, damage, or injury to its property, personnel, and invitees arising from its participation in the Show, except to the extent caused by the gross negligence or willful misconduct of Company. Company shall not be liable for any loss or damage to Exhibitor's property, including during shipping, setup, Show hours, or move-out.
9. CONDUCT AND COMPLIANCE
Exhibitor and its staff shall comply with all rules and regulations of the Show and the venue, as communicated by Company. Company reserves the right, in its sole discretion, to remove any Exhibitor, staff member, display, or product that it deems disruptive, unsafe, offensive, or inconsistent with the character of the Show, without refund.
10. INTELLECTUAL PROPERTY AND PROMOTION
Exhibitor grants Company the right to use Exhibitor's name, logo, and likeness in Show promotional materials, including the Show website, mobile app, printed program, and social media. Exhibitor represents that all products sold or displayed at its Booth are authentic and do not infringe the intellectual property rights of any third party.
11. INDEMNIFICATION; LIMITATION OF LIABILITY; FORCE MAJEURE
11.1 Indemnification. Exhibitor shall indemnify, defend, and hold harmless Company, its officers, employees, agents, and contractors from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from Exhibitor's participation in the Show, its products or services, or its breach of this Contract.
11.2 Force Majeure. Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, natural disaster, pandemic, government order, labor dispute, or venue unavailability. In the event the Show is cancelled due to force majeure, Company's liability shall be limited to a refund of fees actually paid, less non-recoverable costs incurred.
11.3 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY'S TOTAL LIABILITY UNDER THIS CONTRACT SHALL NOT EXCEED THE BOOTH FEES ACTUALLY PAID BY EXHIBITOR.
12. GENERAL PROVISIONS
12.1 Entire Agreement. This Contract, together with its attachments, constitutes the entire agreement between the parties regarding Exhibitor's participation in the Show.
12.2 Amendments. This Contract may not be amended except in a writing signed by both parties.
12.3 Assignment. Exhibitor may not assign this Contract or sublet its Booth without the prior written consent of Company.
12.4 Governing Law. This Contract shall be governed by the laws of the State of Georgia. Any dispute arising under this Contract shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and the parties consent to the jurisdiction and venue thereof.
12.5 Notices. All notices under this Contract shall be sent to exhibit@naturalhair.org (for Company) and to the contact information provided by Exhibitor in its registration order.
12.6 Severability. If any provision of this Contract is held invalid, the remaining provisions shall remain in full force and effect.
12.7 Electronic Signatures and Acceptance. This Contract may be executed by electronic signature. The parties agree that (a) a typed name, checked box, or other electronic mark applied through Company's designated booking platform with the intent to sign constitutes a valid electronic signature of the signing party; (b) each party consents to conduct this transaction by electronic means; (c) electronic signatures shall have the same legal effect as handwritten signatures under the federal Electronic Signatures in Global and National Commerce Act (ESIGN) and the Georgia Uniform Electronic Transactions Act; and (d) Company accepts this Contract electronically by issuing the booking confirmation for Exhibitor's registration order, and no countersignature is required.
SIGNATURE
Exhibitor signs this Contract electronically through the booking platform. The signer's name, title, company, email, and phone are recorded from the registration order together with the date and time of signing, the exact version of this Contract, the assigned Booth, and the payment schedule.
